6. Regarding the election of members of the Board

6.1. To elect for a period of 4 (four) years terms the below mentioned persons as members of the Board of the public joint stock company INVL Baltic Farmland:

  1. Alvydas Banys (personal code and place of residence withheld).
  2. Indrė Mišeikytė (personal code and place of residence withheld).
  3. Tomas Bubinas (independent member) (personal code and place of residence withheld).

The newly elected members of the Board shall take up their duties upon adoption of this decision.

7. Regarding the determination of the remuneration of the independent member of the Board of the Company

7.1. To set the hourly remuneration of the elected independent member of the Board of the Company at EUR 200 per hour (before taxes) for his service on the Board of the Company and to delegate the Board of the Company to conclude an agreement with this independent member of the Board of the Company and to establish other terms and conditions of the agreement.

8. Regarding the amendment of the Articles of Association of the Company, the approval of the new version of the Articles of Association and the appointment of a person authorised to sign the new version of the Articles of Association

8.1. Considering the provisions of the Law on Companies of the Republic of Lithuania (hereinafter – “Law on Companies“) that if the supervisory board is not established in a public limited liability company whose shares are admitted to trading on the regulated market, the Articles of Association of the Company should determine the Company‘s Board performance of the supervisory functions established in Paragraph 11 of Article 34 of the Law on Companies. Therefore, it is proposed to the shareholders of the Company to o approve a new version of the Company’s Articles of Association (the draft of the Articles of Association is attached hereto), by replacing the entire text of the Articles of Association (without further approval of the amendments of individual clauses of the Articles of Association).

8.2. To authorise the director of the Company Egle Surpliene (with the right to sub-delegate) to sign the new wording of the Company’s Articles of Association and to register it in accordance with the procedure established by the legislation and the General Meeting of Shareholders.

9. Regarding the purchase of own shares of the Company

9.1. Until the day of the General Shareholders Meeting the reserve for the purchase of own shares which is equal to EUR 3,079,669 not used.

9.2. To use the reserve (or the part of it) for the purchase of own shares and to purchase shares in the public joint-stock company INVL Baltic Farmland by the rules mentioned below:

(i) The goal for the purchase of own shares – to ensure for shareholders a possibility to sell company’s shares.

(ii) The maximum number of shares to be acquired – the nominal value of own shares by the public joint-stock company INVL Baltic Farmland, which may not exceed 1/10 of share.

(iii) The period during which the public joint-stock company INVL Baltic Farmland may purchase its own shares 18 months from the day of this resolution.

(iv) The maximum and minimal one share acquisition price:  the maximum one share acquisition price- EUR 5.00, the minimal one share acquisition price – EUR 3.00.

(v) The conditions of the selling of the purchased shares and minimal purchase price: the acquired own shares may be annulled by the decision of the General Shareholders Meeting or sold by the decision of the Board on condition the minimum price of sale of own shares shall be equal to the price at which they were acquired and the procedure of selling the shares shall ensure equal opportunities for all shareholders to acquire the said shares.

9.3. The Board of INVL Baltic Farmland is delegated on the basis of this resolution and the Law on Companies of the Republic of Lithuania to organise purchase and sale of own shares, to organise purchase and selling procedure of own shares, and to determine order and timing for purchase and sale of own shares as well as the amount of shares and shares’ price, and to complete all other actions related with purchase and sale procedure of own shares.

From the date of this resolution, the resolution of the General Shareholders Meeting on 9 April 2021 on the acquisition of own shares expires.

10. Regarding the adjustment of the terms of payment for audit services

10.1. To set an additional salary of up to EUR 4,000 per year (VAT will be calculated and paid additionally in accordance with the order established in legal acts) to the Company’s audit company UAB PricewaterhouseCoopers, legal entity code 111473315, for the audit services of the annual financial statements for 2021 and 2022 years in order to meet the requirements of the Articles 3 and 4 of the Commission Delegated Regulation (EU) 2018/815 of 17 December 2018 supplementing Directive 2004/109/EC of the European Parliament and of the Council with regard to regulatory technical standards on the specification of a single electronic reporting format.

11. Regarding the Report of the Audit Committee of the Company

11.1. In accordance with the rules of procedure of the Audit Committee of the Company (approved on 22 March 2017 by decision of the General Meeting of Shareholders of the Company), the shareholders are hereby briefed on the activity report of the Audit Committee of the Company (attached) (no decision is taken on this item of the agenda).

Regarding the dividend payment for the shareholders and ex-date:

Persons, who will be shareholders of INVL Baltic Farmland at the end of 11 May 2022 the tenth day after the General Shareholders Meeting to approve the resolution to allocate part of Company’s profit for the payment of dividends, are entitled to receive dividends.

The ex-date is 10 May 2022. From that date the new owner of the shares of INVL Baltic Farmland, ISIN code LT0000128753, which were acquired on stock exchange with settlement cycle of T+2, is not entitled to dividends for the year 2021.

Kavanaugh has brought more than 200 feature films, and 40 TV shows to audiences worldwide, and this will be the second film to list on the entertainment stock exchange, esx.io.

Award-winning visionary horror film director F. Javier Gutiérrez (Before the Fall, Rings) has come on board to direct. Home School marks the live-action feature film debut of D’Amelio, the first TikTokker to accrue 100 million followers on the platform. Production is set to begin July 2022.

Charli shot to global fame on TikTok after posting dance videos in 2019. Since exploding on the app, Charli has parlayed her success into other ventures. She appeared in a 2020 Super Bowl ad for Sabra Hummus and danced in a Jennifer Lopez music video. In September of last year, Hulu launched The D’Amelio Show docuseries, starring Charli and her family, which has already been picked up for a second season. In Home School, Charli will play ‘Mira,’ a 17-year-old who moves to a different town to live with her aunt after her mother passes away. After arriving in what seems like the all-too-perfect town, Mira soon discovers that her mother’s death and her own future are intertwined supernaturally.

LOS ANGELES, April 26, 2022 (GLOBE NEWSWIRE) — While the COVID-19 pandemic continues to rage across the planet, a war between Russia and Ukraine has erupted. April 5, 2022 marked the third UN-designated International Day of Conscience, and the Federation of World Peace and Love (FOWPAL) has declared the entire month of April as International Month of Conscience and has been organizing a series of forums and online activities with various organizations around the world in the hope of awakening the conscience in global citizens and uniting them to apply their conscience and do more good deeds to save the world in crisis and move it towards sustainable development. FOWPAL invites people around the globe to endorse the “Declarations for Human Rights of World Citizens and Peace” and two declarations of conscience—the “Declaration of International Day of Conscience” and “Declaration for the Movement of An Era of Conscience”—in order to inject powerful positive energy into the Earth to help stabilize the world.

Peace is everyone’s holy wish. When the light of goodness is illuminated in everyone’s heart, the positive energy of conscience spreads and connects global citizens, forging a tremendous force for action to change the world for the better and make global sustainability possible. For over two decades, Dr. Hong, Tao-Tze, president of FOWPAL, has led delegates from FOWPAL, the ECOSOC-accredited NGO Association of World Citizens (AWC), and Tai Ji Men Qigong Academy (Tai Ji Men) to visit 101 countries on six continents, advocating the idea of love and peace around the world and promoting the culture of peace with love and conscience. In 2018, in front of the Clock Tower of the medieval citadel in Sighișoara, a UNESCO World Heritage Site in Romania, delegates from the three organizations sang the “Love and Peace Song” to give hope and encouragement to global citizens while conveying their selfless love for the world. Those who heard them singing were touched, and many were moved to tears and embraced the delegates warmly.

“When you started singing, it gave me goosebumps,” said Sandra Barbulescu, an English language teacher in Romania, “I’ve always wanted to give the idea of love and peace and unity and love, mostly. So when I saw you doing this, and so many people from far away . . . I understand that you are volunteers, so it really really impressed me. And you have so beautiful voices.” With tears in her eyes, she added, “They were tears of joy. You really touched my heart. Thank you for coming here.”

On a beautiful evening in the summer of 2005, delegates from the three organizations gave a cultural performance at the square in front of the Basilica dei Santi Bonifacio ed Alessio in Rome, Italy, transcending language and cultural barriers and allowing the sisters there, who had not danced in many years, to relax and dance to the beautiful music presented by the delegation. Daniela Sabatini, an Italian composer, spoke of the sisters’ feedback about the event: “I am deeply touched of this. They told me that for many many years, they don’t dance. This evening, they are very happy like children.” Sabatini described the song as “music from heaven” making everyone in the audience feel as if they were “in the sky near God.”

In August 2016, delegates from the three organizations presented cultural performances in the 52nd International Folklore Festival of Gulpilhares in Vila Nova de Gaia, Portugal, with over 2,000 people in attendance. Delfim Manuel de Sousa, director of cultural affairs of Vila Nova de Gaia, said that his heart was filled with love and caring after the delegation’s journey of peace to his city. He stated that he wished to give each member of the group a bear hug because they are more than just friends to him.

In 2005, during the “World Summit of Love and Peace” hosted by FOWPAL in New York, Dr. Hong, Tao-Tze declared September 15 as the International Love and Peace Day. The then President of the Dominican Republic Leonel Fernández attended the summit and was the first head of state to sign the declaration. He and Dr. Hong jointly turned the “Key to the World,” symbolizing the activation of more energy of love and peace in the world. On that occasion, President Fernández rang the “Bell of World Peace and Love,” made a wish for peace, and said, “For me, it’s been a great experience.” “What you are projecting, what you are disseminating around the world is really what the world needs. So instead of violence, instead of hatred, instead of exclusion, I think we should embrace each other as brothers and sisters,” he added.

In 2008, when Colombia, Ecuador, and Venezuela were on the brink of war, President Fernández took the initiative to mediate a peace agreement among the three countries, successfully defusing a potential war, saving millions of people from the scourge of war, fulfilling his wish for peace when ringing the Bell.

In 2002, FOWPAL was invited to visit various countries in West Africa. The then President of Senegal Abdoulaye Wade rang the “Bell of World Peace and Love,” stating that “Senegal, its people, its government and president launch a call to all women and men of the world to build and consolidate peace in the world.” In 2008, President Wade also turned the wish he made when ringing the Bell into actions by calling for unity and peace in the African region. In March 2008, President Wade coordinated and successfully promoted the signing of a peace agreement between the heads of state of Sudan and Chad, ending a five-year war between the two neighboring countries and saving countless lives. The efforts of these presidents to prevent wars have been widely lauded.

Over the years, Dr. Hong, Tao-Tze has led FOWPAL, AWC, and Tai Ji Men to promote a culture of peace with love and conscience around the world. The three organizations initiated the movement of An Era of Conscience in 2014. They also launched a global endorsement campaign for the Declaration for the Movement of An Era of Conscience; to date, people in 195 nations have endorsed it.

Beginning in 2018, FOWPAL collaborated with various Permanent Missions to the United Nations on a draft resolution titled “Promoting the Culture of Peace with Love and Conscience.” In 2019, Dr. Hong launched a global endorsement campaign for the Declaration of International Day of Conscience, which has been endorsed by people from 195 countries. On July 25, 2019, the UN General Assembly adopted the draft resolution “Promoting the Culture of Peace with Love and Conscience, designating April 5 as the International Day of Conscience.

In addition to the aforementioned two declarations of conscience, Dr. Hong also proclaimed several significant declarations, including “Love of the World, A Declaration of Peace,” “Peace Declaration,” “Declaration of Human Rights for World Citizens,” and “Declaration of International Love and Peace Day.” Dr. Hong launched global endorsement campaigns for these four declarations, known collectively as the “Declarations for Human Rights of World Citizens and Peace,” which have been endorsed by more than 3.73 million people from 173 nations.

TORONTO, April 26, 2022 (GLOBE NEWSWIRE) — Earlier today, Ryerson University’s Board of Governors unanimously approved a motion to rename our institution “Toronto Metropolitan University” effective immediately. This change marks the start of a new chapter for the university, as it moves forward with a name that better reflects its values and aspirations.

“I cannot think of a better name than Toronto Metropolitan University,” said President and Vice-Chancellor Mohamed Lachemi. “Metropolitan is a reflection of who we have always been – an urban institution dedicated to excellence, innovation, and inclusion and who we aim to be – a place where all feel welcome, seen, represented and celebrated.”

Located in the heart of Canada’s biggest and most diverse city, Toronto Metropolitan University represents all that it is to be metropolitan. The university is a gathering place for people from all over the world, from all walks of life, with broad and diverse perspectives, lived experiences and ambitions. Metropolitan also defines the university’s aspirations to expand its reputation and reach, as exemplified by its new Lincoln Alexander School of Law, its first international campus in Cairo, Egypt and its plans for a future School of Medicine in Brampton.

The new name is the culmination of work carried out over several years. Following the Board of Governors accepting all 22 recommendations put forward by the Standing Strong (Mash Koh Wee Kah Pooh Win) Task Force, the university established a framework for the renaming process which included the formation of the University Renaming Advisory Committee (URAC).

URAC oversaw extensive community consultations that generated responses from over 30,000 people and went on to review over 2,600 potential names. The committee produced a shortlist of names that were subject to several practical parameters including: ensuring alignment with our values, being intentionally inclusive with our diverse community, undertaking linguistic checks and trademark searches, and digital considerations.

Truth and Reconciliation is a key priority for the university, the renaming is an important and highly visible measure in the university’s path toward reconciliation, and it is just one more step in the journey. The University remains committed to supporting the ongoing work of the Truth and Reconciliation Working Group and implementing all of the remaining Standing Strong Task Force recommendations.

CORONAVIRUS/Taiwan to sign deal for Pfizer-BioNTech vaccines this week: official

Amid concerns over stalled progress on Taiwan’s planned purchase of Pfizer-BioNTech (BNT) COVID-19 vaccines which would include child versions, a health official said Wednesday a deal was expected to be signed “this week,” though he did not elaborate on the details.

Taiwan “should be able to sign a deal this week,” said Deputy Minister of Health and Welfare Hsueh Jui-yuan (???) at a meeting of the Legislature’s Culture and Education Committee, though he did not comment on how many of the vaccines would be the version for children, and when they were expected to arrive.

The meeting was held to discuss preparations for the rollout of COVID-19 vaccines for children aged 6-11 on May 2. The only vaccine available for children in Taiwan currently is Moderna.

“How many of the 1.5 million doses are for children?” opposition Kuomintang legislator Lin Yi-Hua (???) asked Hsueh at the meeting, referring to the Pfizer-BioNTech doses that Health and Welfare Minister Chen Shih-chung (???) has said Taiwan will receive. “Many parents of schoolchildren are looking forward to the BNT vaccines and are asking about the procurement progress.”

Chen had said April 18 that Taiwan would receive about 1.5 million Pfizer-BioNTech doses in May, including special doses for children aged 5-11, if the negotiations on that deal went smoothly.

Taiwan’s Food and Drug Administration (FDA) authorized on April 17 the use of the Moderna vaccine for children aged 6-11, but the decision has sparked concerns from parents that it might not be safe for children.

Asked about the low willingness of parents to have their children get vaccinated, Hsueh said the ministry would try its best to provide sufficient information to parents so that they would not base their decision “on emotions.”

A survey released by the Taipei City government on Tuesday showed that only 48.5 percent of parents are willing to have their children receive a vaccine, according to Democratic Progressive Party Legislator Chang Liao Wan-chien (????) at the meeting.

Education Minister Pan Wen-chung (???) told the committee that his ministry would work with schools to help parents understand the risks and benefits of vaccinations.

Schools will be asked to issue vaccination instructions and parental consent forms to parents as soon as possible, at least seven days prior to the administration of vaccines, Pan said.

CORONAVIRUS/Taiwan to start rationing sale of COVID-19 rapid test kits

The sale of COVID-19 rapid test kits in Taiwan will be rationed with effect from Thursday, and they will be available at controlled prices at contracted pharmacies and public health centers throughout the country, Minister of Health and Welfare Chen Shih-chung (???) said Wednesday.

Under the government’s rationing plan, buyers will be required to present their National Health Insurance (NHI) card or Alien Resident Certificates (ARC) to buy one test kit each on designated days, said Chen, at a press briefing of the Central Epidemic Command Center he heads.

The last digit of the identification card number will determine which days the holder will be able to purchase a COVID-19 rapid test kit, he said.

The kits will be sold on Mondays, Wednesdays and Fridays to people with an odd number as the last digit on their cards, while those with an even number will be able to buy the tests on Tuesdays, Thursdays and Saturdays, Chen said.

On Sundays, the kits will be available to anyone who holds an NHI card or Taiwan government-issued ARC, he said.

The 10 million packets that will be distributed each contain five rapid tests, which will be sold under the rationing plan at a controlled price of NT$500 (US$17) per kit, he said.

Some 4,909 NHI-contracted pharmacies and 58 public health centers throughout the country will sell the rationed test kits, Chen said, adding that information about the specific pharmacies can be found on the websites of the National Health Insurance Administration, the Food and Drug Administration, and the Federation of Taiwan Pharmacists Associations (all in Chinese only).

Taiwan pledges US$500,000 to help victims of Somaliland fire

Taiwan’s government has pledged to donate US$500,000 to the self-declared state of Somaliland to help the victims of a massive fire at its biggest market earlier this month, the Ministry of Foreign Affairs (MOFA) announced Wednesday.

A huge fire broke out at the Waheen market, Somaliland’s major trading and financial hub, on April 1, and authorities have estimated its economic impact at US$2 billion, or 60 percent of the de facto state’s gross domestic product, according to Al-Jazeera.

The blaze has seriously affected the livelihoods of thousands of people, and MOFA pledged the donation to offer emergency humanitarian assistance to those affected, said MOFA spokeswoman Joanne Ou (???).

The Somaliland government expressed its gratitude for the donation and said it will arrange a public ceremony at which the funds will be officially handed over, according to Ou.

Taiwan’s government will also work with other like-minded countries to jointly help Somaliland to rebuild the market in the future, she said.

According to the Somaliland government, a total of 1,000 shops and 4,200 stalls and tables in the market were destroyed, and over 17,000 people who relied directly on the market were affected.

Twenty-seven people were severely injured in the fire and rushed to the hospital for treatment, government figures showed.

Somaliland declared independence from Somalia in 1991 after years of conflict. It has offices in about a dozen countries, according to its foreign ministry’s website, but does not have formal diplomatic relations with any nation.

Relations between Taiwan and Somaliland have warmed over the years, with Taipei opening a representative office in Somaliland’s capital Hargeisa on Aug. 17, 2020, and the Somaliland authorities opening a reciprocal office in Taipei the following month on Sept. 9.

CORONAVIRUS/Taiwan reports 8,923 COVID-19 cases, two deaths

Taiwan reported 8,923 new COVID-19 cases, as well as 16 moderate and severe infections, and two deaths from the disease on Wednesday, according to the Central Epidemic Command Center (CECC).

The new daily cases, which marked a single-day high, consisted of 8,822 domestically transmitted infections and 101 cases that were contracted abroad.

The CECC also reported that two Taiwanese nationals, in their 50s and 70s, died from the disease.

Both men — one classified as a domestic case and the other one imported — had cancer and had received two doses of COVID-19 vaccine.

Of the 42,844 domestic cases recorded nationwide from Jan. 1 to April 26, 120 have been classified as moderate infections and 12 as severe, accounting for 0.28 percent and 0.03 percent of the total, respectively.

All other cases have displayed either mild symptoms or have been asymptomatic, according to the CECC.

New Taipei reported the highest number of domestic cases on Wednesday with 3,241, followed by Taipei with 1,892, Taoyuan with 1,452, Keelung with 476, and Taichung with 356.

Hualien County reported 237 cases, Kaohsiung 268, Tainan 179, Yilan County 135, Hsinchu County 110, Changhua County 98, Hsinchu City 82, Pingtung County 63, Yunlin County 62, Miaoli County 53, Nantou County 35, Chiayi County 24, and Taitung County 23.

Chiayi City and Penghu County both 12 each, Kinmen County reported 10 cases, and the Matsu Islands two, the CECC said.

Meanwhile, of the 101 new imported cases, 84 were travelers who tested positive on arrival in Taiwan, according to the CECC.

To date, Taiwan has confirmed 76,938 COVID-19 cases since the pandemic began in early 2020, including 66,266 domestically transmitted infections. As of April 27, Taiwan recorded 51,666 domestic cases for 2022.

With two deaths reported Tuesday, the number of confirmed COVID-19 fatalities in the country reached 858.
