Nyxoah Files Shelf Registration Statement and
Announces At-the-Market Equity Offering Program

Mont-Saint-Guibert, Belgium – December 22, 2022, 10:10pm CET / 4:10pm ET – Nyxoah SA (Euronext Brussels/Nasdaq: NYXH)(“Nyxoah” or the “Company”), a medical technology company focused on the development and commercialization of innovative solutions to treat Obstructive Sleep Apnea (OSA), today announced that it has filed a $200 million shelf registration statement on Form F-3 (the “Registration Statement”) with the U.S. Securities and Exchange Commission (the “SEC”).  Once declared effective by the SEC, the Registration Statement would permit the Company to sell, from time to time, up to $200 million in aggregate value of its common stock, preferred stock, debt securities, warrants, and/or units. The Registration Statement is intended to provide the Company with flexibility to access additional capital when market conditions are appropriate.

The Company also entered into a sales agreement (the “Sales Agreement”) with Cantor Fitzgerald & Co. (“Cantor”), as sales agent, pursuant to which the Company may sell new ordinary shares having an aggregate offering price of up to $50 million (the “Offered Shares”) from time to time through an “at-the-market” offering (the “ATM”). The actual number of Offered Shares to be issued, if any, will depend on the Company’s determination, in its sole discretion, to make sales and the price per share of any such sales. However, the number of Offered Shares shall not exceed 6 million shares. The Offered Shares will be sold at a sales price per Offered Share equal to the then current USD market price of the Nyxoah ordinary share on the Nasdaq Global Market at the time of the relevant sale.

Cantor may sell Offered Shares by any method permitted by law deemed to be an “at-the-market” offering as defined in Rule 415 of the Securities Act of 1933, as amended, including without limitation sales made directly on the Nasdaq Stock Market, on any other existing U.S. trading market for the ordinary shares, or to or through a market maker.  Since the Offered Shares will be sold at market prices prevailing at the time of the sale, sales prices may vary.  No sales of Offered Shares will be conducted in Belgium or through Euronext.

Payment Card Fraud Losses Reach $32.34 Billion

The Nilson Report Releases Annual Issue on Fraud Statistics

SANTA BARBARA, Calif., Dec. 22, 2022 (GLOBE NEWSWIRE) — Payment card fraud losses worldwide exceeded $32 billion in 2021, of which nearly $12 billion was in the US, according to the Nilson Report, the leading trade publication covering the global payment card industry. Losses to fraud worldwide increased by 14% in 2021.

Over the next 10 years, the industry is projected to lose an accumulated $397 billion worldwide, with $165 billion coming from the US.

The US accounted for 37% of worldwide losses to card fraud in 2021 even though it only accounted for 23% of card spending at merchants and cash transactions at ATMs combined. Higher fraud losses in the US were attributable to a 25% increase in purchases made by credit cards after a 9% drop in 2020. Also impacting fraud in the US was the continued growth in card-not-present transactions such as those that occur when spending online. Online purchases leave merchants more vulnerable to fraud.

The $11.9 billion in fraud losses in the US in 2021 was up 18%. Fraud in the US was connected to card volume of $11.3 trillion. In 2020, the US total for fraud losses was $10.1 billion tied to $9.4 trillion in total card volume.

Among payment card industry executives, fraud is expressed in basis points (cents) per $100 in total volume. In 2021, it was 6.61¢ per $100 in total volume. This was an improvement from 2020 when the figure was 6.77¢ per $100.

The total for worldwide spending for goods and services, combined with cash advances against lines of credit and cash withdrawals from funds on deposit, equaled $48.955 trillion in 2021, an increase of 16.6% from 2020. This payment volume was generated by global brand, domestic-market-only and private label credit, debit and prepaid cards used at merchants in stores and online, along with cash obtained at ATMs.

“While fraud as a percentage of total card dollar volume declined, criminals saw 14% growth in the money they were able to steal from the system. Card fraud netted criminals nearly $4 billion more in 2021 than in 2020,” said David Robertson, Publisher of the Nilson Report.

Losses to fraud are incurred by card issuers, merchants, processors of card payments from merchants, and processors of card transactions from ATMs.

Delegation of Japan lawmakers to visit Taiwan next week

A parliamentarian delegation from Japan’s ruling Liberal Democratic Party (LDP) will arrive in Taiwan next Monday and meet with President Tsai Ing-wen (???) and other top Taiwanese officials during a four-day visit, Taiwan’s Ministry of Foreign Affairs (MOFA) said Friday.

The delegation led by parliamentarian Hiroshige Seko, who currently serves as secretary-general of the LDP in the House of Councillors in the Japanese Diet, will meet with Tsai, Vice President Lai Ching-te (???), Premier Su Tseng-chang (???) and Legislative Yuan Speaker You Si-kun (???) to discuss bilateral relations between Taiwan and Japan, MOFA said in a statement.

The statement said that in addition to Seko, the delegation will consist of 11 parliamentarians who were part of the LDP faction led by Shinzo Abe, the longest-serving Japanese prime minister who was assassinated in early July while campaigning in Nara.

According to the statement, the group will also pay respects to former Taiwan President Lee Teng-hui (???) at a military cemetery in New Taipei, where the late president was buried, as well as visit a memorial to Abe in Kaohsiung, before departing on Dec. 29.

Both late politicians from Taiwan and Japan, respectively, are regarded by some to have made significant contributions to promoting Taiwan-Japan relations.

The planned visit by the Japanese group, the statement said, will be a testament to the close friendship between Taiwan and Japan.

Taiwan and Japan enjoy “close economic and people-to-people ties,” the statement said, adding that the country looked forward to building further bilateral cooperation after direct interactions with the Japanese group.

Court declares NHI rule unconstitutional

Current regulations that require people who have returned to Taiwan either briefly or have cut short trips overseas to pay National Health Insurance (NHI) premiums are unconstitutional, the Constitutional Court ruled on Friday, as such regulations needed a stronger legal basis given the importance of the issue.

The case originated with a Taiwanese woman surnamed Lee (?) who has been living overseas since 2002 but has been unhappy at being overbilled by the National Health Insurance Administration (NHIA) for NHI premiums each year since 2015 for the brief period when she is in Taiwan to spend the Lunar New Year holiday with her father.

Under the Enforcement Rules of National Health Insurance Act drafted by the NHIA, people who have left the country for six months or more are required to reactivate their NHI plan and pay the premium for the period during which they are in the country.

In 2012, the NHIA put into effect an amendment to the enforcement rules, which stipulates that returnees who have reactivated their NHI plan must not suspend the plan within three months of restarting it.

After Lee ignored the NHIA’s repeated orders that she resume her NHI plan, the agency has sent her bills since 2015 for NHI premiums.

As a result, Lee then took the matter to court by filing an administrative suit with the Taipei District Court, which ruled against her, after which she filed with the Taipei High Administrative Court.

After the latter court also ruled against her, Lee filed for a constitutional interpretation of her case in 2020.

In her complaint, Lee said that the amendment waived the requirement for resumption of the NHI plan only for diplomats and their families, but not for ordinary people, which she said contravened the principle of proportionality.

Furthermore, the provision that people like her must wait at least three months before they are allowed to suspend their NHI plans again ignored their rights and interests, she stated.

The Constitutional Court proclaimed that rules pertaining to the resumption and suspension of NHI plans were unconstitutional on the grounds that the issue is a matter of importance, but there is an absence of legal language justifying such rules in the National Health Insurance Act, which should provide legal basis for the enforcement rules.

The current regulations demanding minimum premium payments of three months from returnees, therefore, contravene the principle of legal reservation, which requires there to be a specific legal basis for a regulation on an important issue, the court’s verdict stated.

The verdict also applied to another provision in the enforcement rules, which stipulates that people who had planned to leave the country for at least six months and suspended their NHI shall have the suspensions voided if they return earlier than intended, and pay back the premiums for the period in which they were overseas.

While the issues defined in these rules are not unconstitutional and do not contravene the principle of proportionality, they should have been introduced through legislation rather than be set by the agency itself, the verdict stated.

Therefore, if the relevant agencies believe that those rules should be retained, they should seek to have them introduced through legislation, it stated.

The relevant authorities have two years to make any necessary corrections, it stated.

No immediate plan for German expansion: TSMC

Taiwan Semiconductor Manufacturing Co. (TSMC) said Friday there is no concrete plan at the moment to expand into Germany, in response to media reports that it is in talks to build its first European chip plant in the German city of Dresden.

TSMC said, however, that it was not ruling out any possibility regarding the issue, but did not elaborate.

Both Nikkei Asia and the Financial Times reported earlier Friday that TSMC is sending a team of senior executives to Germany early next year to gauge the degree of government support for the factory and the ability of the local supply chain to meet its needs, citing people familiar with the matter.

“The trip will be the second in six months by TSMC executives and a final decision on whether to invest billions of dollars in a plant, which could begin construction as early as 2024, is expected to follow soon after,” Nikkei Asia wrote.

Last year, TSMC was asked by customers to consider building a plant in Europe, but it halted an initial review following the invasion of Ukraine, according to Nikkei Asia.

TSMC is now revisiting the idea because of growing calls from Europe’s carmakers for a locally manufactured supply of chips, Nikkei Asia wrote.

Nikkei Asia warned, however, that any move into Germany could strain TSMC’s workforce because it is sending several hundred engineers to support its investment in Arizona and will need to deploy 500 to 600 more to help set up its new factory in Japan.

TSMC held a tool-in ceremony earlier this month for its new semiconductor fab in Arizona, which is scheduled to begin production in 2024, and said it would build another using an even more advanced technology in the state.

The company announced that it would use 4-nanometer technology in the new fab, rather than 5nm technology as had been planned, and also said it would increase its planned US$12 billion investment in Arizona to US$40 billion to include a 3nm fab expected to open in 2026.

DPP in disarray amid scandals in Tainan ahead of speakership election

A string of scandals in Tainan involving local officials affiliated with the ruling Democratic Progressive Party (DPP) has thrown the party into disarray and could harm its chance of winning the election for Tainan City Council speaker on Sunday.

On Friday, Kuo Tsai-chin (???), who resigned as a member of the DPP Central Executive Committee on Dec. 14, announced his withdrawal from the party, a day after DPP Deputy Secretary-General Lin Fei-fan (???) urged him to do so.

In a social media post on Thursday, Lin called on Kuo to leave the DPP over the latter’s alleged involvement in dumping slag illegally in farmlands, for which prosecutors decided not to press charges in 2015 but reopened investigation into in 2019.

The slag dumped in farmlands in Tainan’s Syuejia District in 2015 and the dumping of such waste in other farmlands in 2019 were allegedly from a now-disbanded recycling corporation named Misiasin which was owned by Kuo.

Tainan prosecutors on Dec. 12 indicted Kuo and the other seven people from Misiasin and another company for having about 679,970 tonnes of electric arc furnace slag buried in farmlands in Syuejia and Houbi districts in Tainan.

The two companies made NT$1.8 billion (US$58.5 million) from the illegal practices, according to the indictment.

The dumping issue, which was brought up during the local elections on Nov. 26, was said to be in connection with two shooting incidents involving 88 bullets being fired in Syuejia on Nov. 10, with one taking place at a location which allegedly housed Misiasin.

As of Friday, five individuals linked to the Nov. 10 submachine gun attacks, including Kung Hsiang-chih (???), a Syuejia local with a known criminal history, were arrested and have been detained for investigation, but Hung Cheng-chun (???), believed to be the mastermind of the shootings, is still on the run, according to Tainan police.

In addition, Chen Kai-ling (???), the head of the Tainan City government’s Economic Development Bureau and a former member of the DPP, was taken into custody and held incommunicado early Friday morning for alleged involvement in multiple crimes, including accepting bribery from optoelectronics companies, according to Tainan prosecutors.

Moreover, Fang Yi-feng (???), a Tainan City Councilor-elect of the KMT, reported to the police on Thursday that he was being intimidated by a DPP representative who told him who he should not vote for in the election for city councilor speaker.

Lin Shih-chieh (???), who was brought in by Tainan prosecutors for questioning on Friday for allegedly intimidating Fang, also announced his withdrawal from the DPP on Friday after he was released on bail of NT$50,000 earlier that day.

“As a DPP member from Tainan, apart from being sad to see the city plunge into such a mess, I think we should deeply reflect on ourselves because it was the result of our collective willingness to turn a blind eye to (the alleged wrongdoing),” Lin Fei-fan said in the post.

Lin Fei-fan urged Tainan Mayor Huang Wei-che (???) of the DPP, who defeated the KMT’s Hsieh Lung-chieh (???) on Nov. 26 by a margin of 4.4 percent, which was much narrower than expected, to face up to problems with the city government and the party.

However, some DPP politicians in Tainan have not seen eye to eye with Lin Fei-fan.

Kuo said Lin Fei-fan was putting the blame for the DPP’s poor showing in the Nov. 26 elections on him but claimed that he was innocent of the illegal dumping cases.

DPP Legislator Chen Ting-fei (???), who represents a Tainan district, said Lin Fei-fan did not have much understanding about Tainan.

In the wake of the DPP’s defeat in the Nov. 26 elections, the DPP should bring everyone together to figure out why the party failed to rally its base and try to cement party unity to recover from its failure, instead of pointing fingers at others, Chen said.

On the 57-seat Tainan City Council, the DPP secured 28 seats, followed by the KMT with 15 seats, 10 independents, the Non-Partisan Solidarity Union with two, and Taiwan Solidarity Union and Taiwan Statebuilding Party with one apiece.

The DPP is hopeful of winning the city council speaker position after the Taiwan Solidarity Union and the Taiwan Statebuilding Party expressed support for the DPP’s candidate Chiu Li-li (???), but some DPP members felt that it might still be up in the air.

The DPP caucus at the city council held a meeting Friday, which was supposed to show party unity behind Chiu, but six DPP city councilor-elects left the meeting early without shouting slogans to pledge that they would vote along party lines as the caucus had planned.

Yachting: At the Yacht Club de Monaco the YCM Awards – Trophée Credit Suisse ceremony

The Yacht Club de Monaco gathered for the traditional winter cocktail party at the presence of his President H.S.H. Aiming to a better future and feeling the need to bear witness to the state of the oceans, Fabrice Papazian and François Miribel embarked on Boréal 47 Sir Ernst to Antarctica and during the celebration presented their book ‘Sir Ernst’. After the white continent, here they are again preparing their departure for Patagonia, a new expedition during which funds will be collected and donated to a research institute against pediatric cancer.

Synthetic data uses artificial intelligence to create near-exact replicas of real-world data. More effective in protecting sensitive data than existing privacy preserving techniques, synthetic data can be used to increase data volume and quality, while correcting biases.

The use of synthetic data is growing within financial services, testing fraud detection methods mimicking customer behaviour to research products, and healthcare using patient record data to advance public health systems while maintaining patient confidentiality. Synthetic data has a range of projected uses, from creating training data for autonomous vehicles and robots to powering digital twin technologies and, eventually, metaverse applications.

MAJURO, Marshall Islands, Dec. 22, 2022 (GLOBE NEWSWIRE) — In a world-first, the Republic of the Marshall Islands (RMI) announced today that the government has passed into law the Decentralized Autonomous Organizations Act of 2022, which legally recognizes DAOs and enables legal entities registered in the country to formally adopt DAO structures and governance tools. This development marks the furthest any country has gone in legalizing and encouraging the growth of decentralized entities and their associated elements, representing a unique opportunity for MIDAO’s facilitation of DAO Registry Process in the Marshall Islands.

The historic announcement comes amid growing calls for governments to introduce more regulatory oversight and scrutiny of blockchain and cryptocurrency. Following the collapse of the FTX centralized crypto exchange, many governments have announced plans for new legislation and beefed up enforcement from financial watchdog institutions. The government of the Republic of the Marshall Islands recognizes that a ‘one-size-fits-all’ approach will not work in this sector, and recognizes the benefits that decentralization can bring to its economy.

  • Allows DAOs to incorporate under the internationally recognized LLC structure, so long as they identify as a DAO LLC;
  • Allows for-profit DAOs and not-for-profit DAOs to register;
  • Recognizes DAO governance, voting processes, and framework, including tokenization;
  • Creates an investment fund for the government of RMI to continue education and training around DAOs and how to integrate them further into the economy;
  • Provides definitions and regulations for DAO formation, agreements, and use of smart contracts.

In an effort to attract DAOs and Web3 pioneers, this newly passed legislation establishes a DAO registry process, to be facilitated by MIDAO, a local company with the expertise to attract and explain why the RMI legal system is more beneficial to DAO structures than other jurisdictions in the world.
