Junshi Biosciences Announces Primary Endpoint Met in RENOTORCH Study of Toripalimab for 1st-line Treatment of Advanced Renal Cell Carcinoma

SHANGHAI, China, April 27, 2023 (GLOBE NEWSWIRE) — Shanghai Junshi Biosciences Co., Ltd (“Junshi Biosciences”, HKEX: 1877; SSE: 688180), a leading innovation-driven biopharmaceutical company dedicated to the discovery, development, and commercialization of novel therapies, announced that the pre-specified interim analysis of the RENOTORCH study (NCT04394975) has been completed. RENOTORCH is a multi-center, randomized, open-label, active-controlled phase 3 clinical study evaluating toripalimab in combination with axitinib for the first-line treatment of patients with intermediate to high risk, unresectable or distant metastatic renal cell carcinoma (“RCC”). The Independent Data Monitoring Committee (IDMC) has determined that the primary endpoint of progression free survival (“PFS”, based on independent radiographic review) has met the pre-defined efficacy boundary. Junshi Biosciences will communicate with regulatory authorities regarding matters related to the supplemental new drug application in the near future.

Globally, renal carcinoma is the third most common type of malignancy in the urinary system, and RCC accounts for 80%-90% of all cases. According to data published in the Chinese Medical Journal, in 2022, there were approximately 77,000 new cases of renal carcinoma and 46,000 deaths due to this disease in China. About one-third of the renal cell carcinoma patients had distant metastasis at initial diagnosis, while 20%-50% of the patients with localized tumors developed distant metastasis after nephrectomy. According to the risk classification of the International Metastatic Renal Cell Carcinoma Database Consortium (IMDC), the median overall survival (“OS”) of patients with low, medium and high risk metastatic RCC receiving anti-vascular targeted treatment was 35.3, 16.6 and 5.4 months, respectively. Therefore, the need for new treatment options is more urgent for patients with medium and high risk advanced RCC compared to low-risk patients.

In recent years, PD-(L)1 inhibitors combined with anti-vascular targeted drugs have achieved success in the first-line treatment of advanced RCC in many countries around the world, replacing anti-vascular targeted drug monotherapy as the new standard. Compared to anti-vascular targeted drug monotherapy, the combination of PD-(L)1 monoclonal antibody and anti-vascular targeted drugs has demonstrated significant improvements in patients’ PFS, objective response rate (“ORR”), and OS. However, no therapy combining PD-(L)1 therapy with anti-vascular targeted drugs for the first-line treatment of advanced RCC has been approved in China.

As the first pivotal phase 3 study of immunotherapy for patients with advanced RCC in China, RENOTORCH is a multi-center, randomized, open-label, active-controlled study aiming to evaluate the efficacy and safety of toripalimab in combination with axitinib versus sunitinib monotherapy for the first-line treatment of patients with intermediate to high-risk unresectable or metastatic RCC. Based on the interim analysis of the study, toripalimab in combination with axitinib for the first-line treatment of patients with advanced RCC significantly reduced the risk of disease progression or death compared to sunitinib monotherapy, while improving secondary endpoints such as ORR. The safety profile of toripalimab in the study was consistent with known risks, and no new safety signals were identified. The RENOTORCH study is a multi-center, randomized, open-label, active-controlled phase 3 study aiming to evaluate the efficacy and safety of toripalimab in combination with axitinib versus sunitinib monotherapy for the first-line treatment of patients with intermediate to high-risk unresectable or metastatic RCC. Enrolled individuals were randomly assigned in a 1:1 ratio to receive toripalimab in combination with either axitinib or sunitinib until disease progression or intolerable toxicity. The first three indications have been included in the National Reimbursement Drug List (NRDL) (2022 Edition). Toripalimab is the only anti-PD-1 monoclonal antibody included in the NRDL for treatment of melanoma.

In the United States, the Biologics License Application (BLA) for toripalimab in combination with gemcitabine/cisplatin, for the first-line treatment of patients with advanced recurrent or metastatic NPC and toripalimab monotherapy for the second-line or later treatment of recurrent or metastatic NPC after platinum-containing chemotherapy is under review by the U.S. Food and Drug Administration (FDA). (“Glass Lewis”) both have recommended that Meltwater shareholders vote “FOR” the voluntary offer (the “Offer”) from MW Investment B.V. (“MWI” or the “Offeror”) to acquire all outstanding shares of Meltwater shares at a price of NOK 18.00 per share (the “Offer Price”). ISS and Glass Lewis make proxy voting recommendations to their subscribers, including most of the major institutional investors globally, on how to vote in shareholder meetings.

The Offer Price represents a premium of 135% to the last traded price of NOK 7.67 as per 14 September 2022, the day immediately preceding announcement of the strategic review. The Offer price also represents a premium of 36% to the last traded price of NOK 13.25 as per 18 January 2023. The strategic review was publicly announced in September 2022 to increase the number of parties involved in the process, ensuring all avenues were explored and a conclusion could be reached that was in the best interests of Meltwater and its stakeholders. The Board formed a special committee consisting of non-executive and non-conflicted Board members.

The Company and the special committee entertained interest from more than 20 different strategic and financial third parties. The special committee also assessed a number of other strategic alternatives and the Company’s standalone prospects.   • First quarter revenue increased 25% to $565 million, income from continuing operations increased 96% to $76 million, and Adjusted EBITDA from continuing operations increased 47% to $247 million year-over-year.
  • Adjusted EBITDA Margin from continuing operations of 43.7% expanded 650 basis points year-over-year.

First Quarter 2023 Results2

Tim Boswell, President and Chief Financial Officer, commented, “Our commercial KPIs were resilient in Q1 2023 with particularly strong contributions from pricing and Value-Added Products. Modular space unit average monthly rate increased 20%, with continued growth in both unit pricing and VAPS penetration. Portable storage average monthly rate was up 30% year-over-year, driven by value-based selling and our price management tools and processes. Importantly, revenue from Value-Added Products in our Storage Solutions segment of nearly $22 million was up 66% versus Q1 2022. Consolidated Q1 2023 Results From Continuing Operations

  • Revenue of $565.5 million increased by 25.3% year-over-year due to our organic revenue growth initiatives and due to the impact of acquisitions. We estimate that recent acquisitions completed over the past four quarters contributed approximately $17 million to total revenues in the quarter.
  • Adjusted EBITDA of $246.8 million increased by 47.1% year-over-year and Adjusted EBITDA margin of 43.7% increased by 650 basis points year-over-year due to strong pricing and Value-Added Products trends, a 1,200 basis point expansion of delivery and installation margins, cost efficiency initiatives, and moderation of inflationary pressures.
  • Effective Q1 2023, we transferred approximately 6,000 Ground Level Office (GLO) modular products from the Modular Solutions segment to our Storage Solutions segment. We transferred these legacy WillScot GLOs to the Storage Solutions segment because they are modified container products that can be operated more efficiently within the legacy Mobile Mini branch and logistics infrastructure. The adjustment transferred approximately $50 million of revenue and $21 million of Adjusted EBITDA on an annualized basis from the Modular Solutions segment to the Storage Solutions segment. We have recasted historical segment financial results and operating KPIs to reflect this transfer.

Modular Solutions Segment

  • Revenue of $349.7 million increased by 21.2% year-over-year.
  • Average modular space monthly rental rate increased $152 year-over-year, or 17.0%, to $1,046.
    • Average modular space units on rent increased 1,219 units year-over-year, or 1.5%, to 81,902.
    • VAPS average monthly rate, a component of average modular space monthly rental rate above, increased $38 year-over-year, or 15%, to $295. For delivered units over the last 12 months, VAPS average monthly rate increased $22 year-over-year, or 5%, to $479.
  • Adjusted EBITDA of $136.9 million increased by 37.4% year-over-year and Adjusted EBITDA Margin of 39.1% expanded by 460 basis points.

Storage Solutions Segment

  • Revenue of $215.8 million increased by 32.7% year-over-year.
  • Average portable storage monthly rental rate increased $50 year-over-year, or 30.1%, to $216.
    • Average portable storage units on rent increased by 12,265 units year-over-year, or 8.1%, to 164,591.
  • Modular space, representing 20,235 Ground Level Office modular products, average monthly rental of $760 increased 29.7% year-over-year as a result of price optimization and increased VAPS penetration. Average modular space units on rent decreased 2,649, or 11.6%, year-over-year.
  • Adjusted EBITDA of $109.9 million increased by 61.1% year-over-year and Adjusted EBITDA Margin of 50.9% expanded by 900 basis points.

UK Storage Segment (Discontinued Operations)

  • Completed divestiture of UK Storage segment effective January 31, 2023. Earnings from the UK Storage segment are reported as discontinued operations in the first quarter of 2023 and all prior periods. Proceeds from the sale of $418 million were used in Q1 2023 initially to reduce the outstanding balance on our asset backed revolving credit facility, creating additional capacity to support our other capital allocation initiatives.

Capitalization and Liquidity Update2

  • Generated $103 million of Free Cash Flow, up 88% year-over-year.
  • Maintained over $1.1 billion of excess availability under the asset backed revolving credit facility.
  • Executed a $750 million floating-to-fixed interest rate swap in January 2023, resulting in approximately 60% fixed-rate and 40% floating rate debt in our debt structure, which is consistent with our targeted mix.
  • Weighted average interest rate, inclusive of the swap, is approximately 5.7%, and annual cash interest expense based on the current debt structure and benchmark rates is approximately $168 million.
  • No debt maturities prior to 2025.
  • Reduced leverage to 3.0x last twelve months Adjusted EBITDA from continuing operations of $963 million. The Company operates in two reportable segments as follows: Modular and Storage. Modular represents the activities of the North American modular business, excluding ground level offices, which were transferred to the Storage segment during the first quarter of 2023. Storage represents the activities of the North American portable storage and ground level office business. All periods presented have been retrospectively revised to reflect this change within the Modular and Storage segments. For the three months ended March 31, 2022, this resulted in approximately $11.1 million of revenue, $6.3 million of gross profit, and $4.4 million of Adjusted EBITDA being transferred from the Modular segment to the Storage segment. As part of the transfer, we adjusted average monthly rental rate for modular units (Ground Level Offices) in the Storage segment to only include Value-Added Products specifically applicable to Ground Level Offices.

Reconciliation of Non-GAAP Financial Measures

In addition to using GAAP financial measurements, we use certain non-GAAP financial information that we believe is important for purposes of comparison to prior periods and development of future projections and earnings growth prospects. This information is also used by management to measure the profitability of our ongoing operations and analyze our business performance and trends.

We evaluate business segment performance on Adjusted EBITDA, a non-GAAP measure that excludes certain items as described below. We believe that evaluating segment performance excluding such items is meaningful because it provides insight with respect to intrinsic operating results of the Company.

We also regularly evaluate gross profit by segment to assist in the assessment of the operational performance of each operating segment. We consider Adjusted EBITDA to be the more important metric because it more fully captures the business performance of the segments, inclusive of indirect costs.

We also evaluate Free Cash Flow, a non-GAAP measure that provides useful information concerning cash flow available to fund our capital allocation alternatives.

Adjusted EBITDA

Adjusted EBITDA is a non-GAAP measure defined as net income (loss) before income tax expense (benefit), net interest (income) expense, depreciation and amortization adjusted for certain items not related to our core business operations, including net currency (gains) losses, goodwill and other impairment charges, restructuring costs, transaction costs, costs to integrate acquired companies, non-cash charges for stock compensation plans, gains and losses resulting from changes in fair value and extinguishment of common stock warrant liabilities, and other discrete expenses.

  • Currency (gains) losses, net: on monetary assets and liabilities denominated in foreign currencies other than the subsidiaries’ functional currency.
  • Goodwill and other impairment charges related to non-cash costs associated with impairment charges to goodwill, other intangibles, rental fleet and property, plant and equipment.
  • Restructuring costs, lease impairment expense, and other related charges associated with restructuring plans designed to streamline operations and reduce costs including employee termination costs.
  • Transaction costs including legal and professional fees and other transaction specific related costs.
  • Costs to integrate acquired companies, including outside professional fees, non-capitalized costs associated with system integrations, non-lease branch and fleet relocation expenses, employee training costs, and other costs required to realize cost or revenue synergies.
  • Non-cash charges for stock compensation plans.
  • Gains and losses resulting from changes in fair value and extinguishment of common stock warrant liabilities.
  • Other expense, including consulting expenses related to certain one-time projects, financing costs not classified as interest expense, and gains and losses on disposals of property, plant, and equipment.

Adjusted EBITDA has limitations as an analytical tool, and you should not consider the measure in isolation or as a substitute for net income (loss), cash flow from operations or other methods of analyzing the Company’s results as reported under US GAAP. Some of these limitations are:

  • Adjusted EBITDA does not reflect changes in, or cash requirements for our working capital needs;
  • Adjusted EBITDA does not reflect our interest expense, or the cash requirements necessary to service interest or principal payments, on our indebtedness;
  • Adjusted EBITDA does not reflect our tax expense or the cash requirements to pay our taxes;
  • Adjusted EBITDA does not reflect historical cash expenditures or future requirements for capital expenditures or contractual commitments;
  • Adjusted EBITDA does not reflect the impact on earnings or changes resulting from matters that we consider not to be indicative of our future operations;
  • although depreciation and amortization are non-cash charges, the assets being depreciated and amortized will often have to be replaced in the future and Adjusted EBITDA does not reflect any cash requirements for such replacements; and

Net CAPEX

Return on Invested Capital

Return on Invested Capital is defined as adjusted earnings before interest and amortization divided by net assets. Adjusted earnings before interest and amortization is the sum of income (loss) before income tax expense, net interest (income) expense, amortization adjusted for non-cash items considered non-core to business operations including net currency (gains) losses, goodwill and other impairment charges, restructuring costs, costs to integrate acquired companies, non-cash charges for stock compensation plans, gains and losses resulting from changes in fair value and extinguishment of common stock warrant liabilities, and other discrete expenses, reduced by estimated taxes. (News Focus) Washington Declaration quells debate over S. Korea’s nuclear armament but does little to contain N. Korea: experts

The agreement reached Wednesday by South Korean President Yoon Suk Yeol and U.S. President Joe Biden on ways to strengthen U.S. extended deterrence may have effectively reassured the South Korean public of the U.S. resolve to help its ally but did little to address the threats posed by North Korea’s evolving nuclear and missile capabilities, U.S. experts said.

The leaders issued the Washington Declaration in a bilateral summit in Washington, under which the countries will set up a Nuclear Consultative Group, which according to U.S. officials, will be similar to NATO’s nuclear policy planning body, the Nuclear Planning Group.

Some of the U.S. experts noted that while the declaration shows how strong a response the North may face should it decide to attack the U.S. or South Korea, the leaders have offered little or no reason for Pyongyang to choose another path.

“The leaders strengthened extended deterrence by elevating South Korea’s voice over nuclear planning,” Patrick Cronin, chair for Asia-Pacific Security at the Hudson Institute, a think tank based in Washington, told Yonhap News Agency.

“The result should reassure the South Korean people and help quell for now the gathering discussion within Seoul for an independent nuclear weapon,” he added.

The Yoon-Biden summit followed an unprecedented number of North Korean missile tests since the start of 2022, which prompted a heated debate on whether South Korea should consider arming itself with its own nuclear weapons.

Seoul and Washington agreed the only viable option was to strengthen U.S. extended deterrence, which refers to the U.S.’ promise to use all its military capabilities, including nuclear weapons, when necessary to defend South Korea.

Frank Aum, senior expert on Northeast Asian affairs at the U.S. Institute of Peace (USIP), said the Washington Declaration may be the “biggest success” of Wednesday’s summit that “will help alliance coordination and communications on nuclear planning issues.”

He, however, insisted that the declaration itself may not provide any “actual security benefits” in terms of deterring North Korea.

“If the goal is only to deter a war on the Korean Peninsula, then the question is whether these enhanced deterrence measures are necessary. The existing combined conventional and nuclear capabilities of the U.S.-South Korea alliance were already sufficient in deterring major North Korean attacks. Anything more risks escalating the tensions and arms racing that the Peninsula has witnessed over the last decade,” he said.

“Given that North Korea’s principle for dealing with the United States is “power for power, goodwill for goodwill,” the alliance should expect a reciprocal response from North Korea, including potentially a seventh nuclear test, a military satellite launch, or a show of solidarity with China,” Aum added.

The USIP expert noted the North had responded with “great advances in its nuclear weapons program” and over 90 ballistic missile tests between 2013 and 2017 after the alliance ramped up its deterrence demonstration in response to North Korea’s third nuclear test in 2013.

The experts also argued that the call for South Korea’s nuclear armament may come to life again in the future.

“The Washington Declaration may temporarily end the nuclear armament debate in South Korea, but it won’t indefinitely,” Aum said. “The South Korean public’s support for indigenous nuclear weapons capability will remain high, typically around 70 percent, because it is driven by many factors like national prestige and the desire for nuclear sovereignty.”

Cronin agreed, saying the Washington Declaration “is not the end of the debate, but it is a big step toward nuclear power sharing.”

The declaration also does little to address the threat posed by North Korea, according to Anthony Ruggiero, former director for North Korea at the U.S. National Security Council.

“The Washington Declaration is an important step forward as the United States and South Korea celebrate 70 years of the alliance. But it does not address North Korea’s expanding nuclear weapons and ballistic missile program,” said Ruggiero, who currently works as a senior fellow at the Washington-based Foundation for Defense of Democracies think tank.

Aum insisted that the allies should focus more on how to engage with North Korea, citing what he called strong correlation between U.S.-North Korea negotiations and lower levels of North Korean provocation.

“So any U.S dissuasion effort against ROK nuclear armament should also devote attention to how to engage with North Korea,” he said, referring to South Korea by its official name, the Republic of Korea.

(LEAD) Samsung Electronics logs worst quarter in 14 years amid memory chip glut

Samsung Electronics Co. on Thursday reported its worst quarterly profit in 14 years, as global economic woes dented demand for consumer electronics and a chip glut battered its core business.

The world’s largest memory chip and smartphone maker reported operating profit of 640.2 billion won (US$478 million) during the January-March period, falling 95 percent from the 14.12 trillion won it posted a year ago.

Its first-quarter net income came to 1.57 trillion won, down 86.1 percent from a year earlier. Sales fell 18 percent to 63.74 trillion won.

Samsung’s Device Solution (DS) division, which oversees its chip business, posted a deficit of 4.58 trillion won, in its first financial loss in 14 years, with chip inventories growing significantly amid tapering global demand.

The last time Samsung saw its core unit making losses was the first quarter of 2009, when the world was emerging from the 2008 financial crisis.

Earlier this month, Samsung said it was cutting memory production “to a meaningful level,” in a sharp departure from its previous position that it would not artificially reduce output as part of efforts to gain a bigger market share.

Its smaller rivals like SK hynix and Micron had moved several months earlier than Samsung did and pulled back on production in order to ease a severe supply glut that drove down prices.

Market tracker TrendForce said early this year it would take “several quarters of inventory adjustments” and “larger production cuts” by major chipmakers to digest the excessive supply that plagued the industry, and to leave behind the downturn phase.

Samsung forecast the global chip market will shrink 6 percent on-year to $563 billion this year and warned of difficult conditions continuing throughout the year.
